Terms & Conditions – Upprolix

Effective Date: September 25, 2026

Welcome to Upprolix (“we”, “us”, or “our”). These Terms & Conditions govern your use of our website (upprolix.com) and the digital services we offer (including SaaS Development, Custom Web Design, Paid Advertising, and AI Automation). By accessing our website or engaging us for services, you agree to follow these terms. Please read them carefully.

1. Use of the Website & Deliverables

  • You may use our website and final deliverables for lawful purposes only.

  • You agree not to disrupt website security, introduce viruses, or use automated scrapers without our written permission.

  • All content, logos, design elements, and text on this website are the property of Upprolix and protected by intellectual property laws.

2. Client Admin Access & Liability for Self-Uploaded Content

  • Handover of Admin Panels: Upon explicit request, Upprolix may provide clients with administrative dashboard access (such as WordPress or custom CMS panels) to enable them to independently update text, banners, offers, or images.

  • Client Responsibility for Post-Handover Content: Upprolix ensures that all initial content, designs, and assets delivered during the project are legally sourced or original. However, once administrative control or a self-edit panel is handed over, the client is solely and entirely responsible for any text, images, graphics, media, or promotional offers subsequently uploaded, modified, or added by the client or their team.

  • Copyright & Third-Party Infringement: Upprolix strictly prohibits uploading copyrighted material, images downloaded illegally from Google, or stolen assets without proper licenses. If the client or their internal users upload unauthorized or copyrighted material leading to third-party copyright infringement claims, legal notices, penalties, or website takedowns, Upprolix, its founders, and its team shall bear absolutely no liability. All legal and financial consequences arising from self-uploaded or unverified content shall be borne exclusively by the client.

3. Intellectual Property Protection & Unauthorized Use of Concepts

  • Proprietary Rights in Concepts & Drafts: All preliminary concepts, wireframes, design mockups, logo options, code structures, and strategic proposals shared by Upprolix during the project lifecycle remain the exclusive intellectual property of Upprolix.

  • Prohibition on Unauthorized Use After Cancellation: If a client chooses to cancel a project, terminates the agreement, or rejects the proposals after reviewing initial options, drafts, or concepts, the client holds zero rights to use, copy, replicate, or implement any of the designs, logos, website structures, or code presented by Upprolix.

  • Legal Action for Plagiarism/Copying: If it is subsequently discovered that a client or third party has used, plagiarized, copied, or launched identical or deceptively similar designs, logos, or platforms originally created and presented by Upprolix without full payment and final handover, Upprolix reserves the absolute right to initiate strict legal actions, sue for copyright infringement, and claim financial damages.

4. Custom Pricing, Service Tiers & Global Markets

  • Variable Pricing Based on Scope & Functionality: Upprolix caters to diverse markets, including local clients, national Indian business clients, and international global/USA clients.

  • Tailored Quotations: Service fees, pricing structures, and deliverables for each client are unique and determined based on project complexity, specific functionalities required, target audience scale, market geography, and technical scope (whether in UI/UX design, custom development, marketing, or performance campaigns).

  • Independent Commercial Terms: Because pricing is customized to each specific project’s scale, tech stack, and strategic value, service rates and commercial terms may vary across different clients and regions. Clients acknowledge and agree that they cannot claim identical pricing or terms based on agreements made with other clients or projects.

5. Client Responsibility & Prohibition of Illegal Use

  • Once a website, software, SaaS platform, or digital asset is successfully developed, delivered, and handed over to the client, the client is solely responsible for how it is used.

  • Upprolix strictly prohibits the use of any delivered website or platform for fraudulent activities, scams, money laundering, spamming, or any illegal operations.

  • If the client or any third party uses the delivered platform, website, or tools for any unlawful, fraudulent, or malicious activities, Upprolix, its founders, and its team shall bear absolutely no legal responsibility. Any legal consequences, penalties, financial recovery, or government liabilities arising from such misuse shall be borne entirely by the client.

6. Service Engagements & Proposals

  • General information on our website is for introductory purposes and does not form a binding contract on its own.

  • Every formal project engagement is governed by a customized proposal, Statement of Work (SOW), or service agreement mutually agreed upon and signed between you and Upprolix, which will outline specific deliverables, timelines, and pricing.

7. Payment Terms & Billing

  • Advance Payments: Projects and services require an advance payment as outlined in your customized project proposal or invoice.

  • Global and Local Payments: We accept payments securely through authorized business banking channels, wire transfers, and international payment gateways (such as Stripe or Wise) for our global and US clients, as well as standard digital payment modes for Indian clients.

  • Timely Payments: Clients are required to release milestone payments on time. Delays in payment may result in a temporary pause in project execution.

8. Refund & Cancellation Policy

  • Web Hosting & Domain Services: Payments made for domain registration or web hosting setups are strictly non-refundable once processed.

  • Service Cancellations (Web Design & SaaS): Refund requests can only be raised before the first design draft or initial development milestone is delivered. Any refund amount will be mutually decided based on the actual work completed up to that point. Once major development or final delivery begins, fees are non-refundable.

  • Digital Marketing & Retainers: Monthly marketing or advertising management contracts can be cancelled by providing a written one-month (30 days) prior notice. Advance monthly retainers for active advertising spend are non-refundable.

9. Project Scope & Extra Revisions

  • Work will strictly be executed according to the agreed project scope.

  • Any requests for new features, major design overhauls, or extra revisions beyond the mutually agreed scope will be treated as a Change Request and will incur additional charges based on extra time and effort required.

10. Limitation of Liability & Disclaimers

  • Our website and services are provided on an “as is” basis without warranties of any kind.

  • Upprolix will not be liable for any indirect, incidental, or consequential business losses (including loss of profits, data, or anticipated savings) arising from the use of our website or services.

  • We are not responsible for delays caused by circumstances beyond our reasonable control (such as server outages, third-party API changes, or delayed client feedback).

11. Governing Law & Jurisdiction

  • These Terms & Conditions are governed by and construed in accordance with the laws of India.

  • Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts at Gurugram / Karnal, Haryana, India.
